2. Applicability

These general terms and conditions apply to all quotations, agreements, and deliveries by Fraaij Makers, unless otherwise agreed in writing. Deviations from these terms are only valid if expressly confirmed in writing by Fraaij Makers.

3. Quotations and Formation of Agreement

• All quotations issued by Fraaij Makers are non-binding, unless stated otherwise.
• An agreement is established once the quotation has been confirmed by the client in writing or by email.
• If the client gives consent for the work to start without formal acceptance, this will be considered agreement to the quotation and these terms.

4. Execution of the Agreement

• Fraaij Makers carries out the agreement to the best of its knowledge, ability, and craftsmanship.
• The client must provide timely and accurate information and materials necessary for execution.
• If it becomes apparent during execution that changes to the agreement are required, these will be determined in consultation.
• Additional work not included in the original quotation will be charged separately.

5. Delivery and Deadlines

• Delivery times are indicative. Exceeding a deadline does not entitle the client to compensation or termination.
• Delivery of digital files takes place via email, download link, or another agreed method.
• Files are stored for up to 12 months after delivery, unless otherwise agreed.

6. Prices and Payment

• All prices are exclusive of VAT, unless stated otherwise.
• Invoices must be paid within 14 days of the invoice date.
• If payment is overdue, the client is in default without further notice. Fraaij
• Makers is then entitled to charge statutory interest and collection costs.
• Fraaij Makers reserves the right to suspend work in the event of non-payment.

7. Intellectual Property Rights

• All designs, concepts, sketches, texts, images, and other works remain the property of Fraaij Makers until full payment has been made.
• Upon payment, the client receives the right to use the delivered designs solely for the agreed purpose.
• The client is not permitted to alter designs without permission from Fraaij Makers.
• Fraaij Makers reserves the right to use its work for self-promotion, portfolio, and publication, unless otherwise agreed.

8. Liability

• Fraaij Makers is not liable for any damage resulting from reliance on incorrect or incomplete information provided by or on behalf of the client.
• Fraaij Makers is not liable for indirect damage such as consequential loss, lost profits, or reputational harm.
• The client indemnifies Fraaij Makers against third-party claims arising from the use of delivered products or services.

9. Revisions and Corrections

• Unless otherwise agreed, each deliverable includes one revision round.
• Additional revisions or adjustments are considered extra work and will be invoiced separately.
• Minor corrections resulting from errors by Fraaij Makers will be made free of charge.

10. Cancellation and Termination

• If the client cancels the assignment, any costs already incurred will be charged.
• Either party may terminate the agreement in the event of a material breach, after written notice and a reasonable opportunity to remedy.
• Upon termination, all rights granted by Fraaij Makers expire unless full payment has been made.

11. Force Majeure

• Fraaij Makers is not obliged to fulfill any obligation if prevented from doing so by force majeure, including but not limited to technical failures, illness, fire, government measures, or other circumstances beyond its control.
• In the event of force majeure, Fraaij Makers’ obligations are suspended for the duration of the situation.

12. Confidentiality

Both parties are obliged to maintain confidentiality regarding all confidential information obtained in connection with the agreement.

13. Governing Law

• All legal relationships between Fraaij Makers and the client are governed by Dutch law.
• Disputes will be submitted to the competent court in the district where Fraaij Makers is established.
